Affiliate Program Terms and Conditions
Effective Date: June 19, 2026
1. Agreement to Terms
These Affiliate Program Terms and Conditions (“Agreement”) constitute a legally binding agreement between Roni Corporation (“Company,” “we,” “us,” or “our”), a Texas-based company, and you (“Affiliate,” “you,” or “your”). By applying to, enrolling in, or participating in the Roni Corporation Affiliate Program (“Program”), you agree to be bound by this Agreement in its entirety.
We reserve the right to modify these terms at any time. Continued participation in the Program after any modifications constitutes your acceptance of the updated terms.
2. Program Overview
The Roni Corporation Affiliate Program allows approved individuals and entities to earn commissions by promoting our firearm accessories and conversion kits. Affiliates are provided with a unique coupon code and/or a unique referral URL (collectively, “Affiliate Tracking Links”) to track sales generated through their promotional efforts.
3. Eligibility Requirements
To participate in the Program, you must:
Be at least 18 years of age
Be a legal resident of or a legally registered business entity in the United States
Comply with all applicable federal, state, and local laws, including those governing the promotion and sale of firearm accessories and conversion kits
Not be located in a jurisdiction where the promotion or sale of the Company’s products is prohibited
Possess a valid bank account or PayPal account capable of receiving electronic payments (see Section 7)
Complete and submit all required registration information accurately and truthfully
Roni Corporation reserves the right to accept or reject any affiliate application at its sole discretion.
4. Affiliate Tracking Links
Upon approval, each Affiliate will receive:
A unique coupon code assigned exclusively to them; and/or
A unique referral URL linked to their affiliate account
Commissions are only tracked and credited for sales that are completed using the Affiliate’s unique coupon code or referral URL. Sales made without use of these tracking methods will not be attributed to the Affiliate and will not generate a commission.
Affiliates must not alter, manipulate, or misrepresent their Tracking Links in any way. Attempting to claim commissions for sales not generated through legitimate affiliate activity may result in immediate termination and forfeiture of any pending commissions.
5. Commission Structure
5.1 Commission Rate
Affiliates earn a ten percent (10%) commission on the net sale price (excluding taxes, shipping, and any discounts applied) of each qualifying purchase completed through their unique coupon code or referral URL.
5.2 Qualifying Sales
A sale qualifies for commission when:
The customer completes checkout using the Affiliate’s coupon code or referral URL
The order is confirmed and paid in full
The order has not been cancelled, refunded, or charged back within the 30-day holding period
5.3 Non-Qualifying Transactions
The following do not qualify for commission:
Orders placed by the Affiliate themselves (self-referrals)
Orders that are cancelled, returned, or refunded
Orders subject to fraudulent activity
Orders where the coupon code or referral URL was not properly applied
6. Payment Terms
6.1 Payment Schedule
Commissions are subject to a thirty (30) day holding period from the date of the qualifying sale. This period exists to account for potential returns, cancellations, or chargebacks.
Following the 30-day holding period, eligible commissions are processed and paid by the 10th day of the following calendar month.
Example: A qualifying sale made on July 5th clears its 30-day holding period on August 4th. The commission for that sale would be paid by September 10th.
6.2 Minimum Payout Threshold
Commissions will be held until the Affiliate’s account reaches a minimum balance of $[INSERT MINIMUM AMOUNT] before payment is issued. Affiliates who do not reach this threshold will have their balance carried forward to the next payment cycle.
6.3 Payment Methods
Roni Corporation offers the following payment methods:
Bank Transfer (ACH/Wire): Direct deposit to the Affiliate’s verified U.S. bank account
PayPal: Transfer to the Affiliate’s verified PayPal account
Affiliates must select and maintain a valid payment method in their account settings. Roni Corporation is not responsible for payment delays caused by inaccurate or incomplete banking information provided by the Affiliate.
7. Payment Information and Banking Requirements
To receive payments, Affiliates must provide and maintain accurate payment information, including:
7.1 Bank Transfer (ACH/Wire)
Full legal name of the account holder (must match government-issued ID)
Bank name
Account type (checking or savings)
Bank routing number (ABA)
Bank account number
Bank address
7.2 PayPal
Verified PayPal email address associated with an active PayPal account
PayPal account must be verified and capable of receiving business payments
7.3 Verification
Roni Corporation reserves the right to request additional documentation to verify the Affiliate’s identity and banking information before processing payments. This may include a government-issued photo ID, proof of address, or a completed W-9 (for U.S. tax purposes). Failure to provide requested documentation within fourteen (14) days may result in payment delays or account suspension.
All payment information submitted by the Affiliate is handled securely and used solely for the purpose of processing commission payments.
8. Tax Obligations
Affiliates are solely responsible for reporting and paying any and all taxes applicable to commissions earned through the Program. Roni Corporation may be required by law to collect a completed IRS Form W-9 (for U.S. residents) or Form W-8BEN (for non-U.S. residents) prior to issuing any payment. Affiliates who earn $600 or more in a calendar year will receive an IRS Form 1099-NEC as required by law.
9. Affiliate Conduct and Prohibited Activities
By participating in the Program, you agree to comply with all applicable laws and our content and conduct standards. The following activities are strictly prohibited:
Self-referrals or any attempt to generate fraudulent commissions
Promoting Roni Corporation products on websites, platforms, or channels that contain illegal content, hate speech, or content violating any platform’s terms of service
Making false, misleading, or unsubstantiated claims about Roni Corporation’s products
Violating any federal, state, or local laws related to the advertising, promotion, or sale of firearms or firearm accessories
Spamming via email, social media, or any other channel
Bidding on Roni Corporation brand keywords in paid search advertising without prior written permission
Sharing, selling, or transferring your affiliate tracking links or coupon code to another party
Violation of these prohibitions may result in immediate termination of your affiliate account and forfeiture of any unpaid commissions.
10. Compliance with Applicable Firearms Laws
Given the nature of the products offered by Roni Corporation (firearm accessories and conversion kits), Affiliates must strictly comply with all applicable federal, state, and local laws governing the advertising and promotion of such products, including but not limited to regulations enforced by the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF) and applicable state law.
Affiliates are prohibited from promoting Roni Corporation products to individuals who are legally prohibited from purchasing firearms or firearm accessories, or in any manner that violates applicable law.
11. Social Media Obligations
As a condition of participation in the Affiliate Program, each Affiliate is required to fulfill the following social media obligations:
Minimum Video Requirement: Each Affiliate must publish a minimum of three (3) videos on social media promoting Roni Corporation’s products using their assigned coupon code or referral URL.
Minimum Retention Period: Each required video must remain publicly visible on the Affiliate’s social media account(s) for a minimum of sixty (60) consecutive days from the date of publication.
Eligible Platforms: Videos may be posted on any major social media platform, including but not limited to YouTube, Instagram, TikTok, Facebook, or X (formerly Twitter), provided the platform’s terms of service permit the promotion of firearm accessories.
Content Standards: All videos must accurately represent Roni Corporation’s products, comply with applicable laws and platform policies, and must not contain false, misleading, or defamatory statements.
FTC Disclosure: All videos must clearly disclose the Affiliate’s material connection to Roni Corporation in accordance with the Federal Trade Commission (FTC) guidelines on endorsements and testimonials (e.g., “#ad” or “Paid Partnership” disclosures).
Failure to meet the minimum video requirement or to maintain videos for the required sixty (60) day period may result in suspension of commission payments, removal from the Program, and/or forfeiture of any pending commissions, at Roni Corporation’s sole discretion.
12. Intellectual Property
Roni Corporation grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use its approved logos, trademarks, and marketing materials solely for the purpose of promoting the Program. Affiliates may not modify, alter, or create derivative works from Roni Corporation’s branding materials without prior written consent.
13. Termination
Either party may terminate this Agreement at any time, with or without cause, upon written notice. Roni Corporation reserves the right to immediately terminate an Affiliate’s participation in the Program for any violation of this Agreement, fraudulent activity, or conduct deemed harmful to the Company’s reputation.
Upon termination, any earned and verified commissions that have cleared the 30-day holding period will be paid by the 10th of the following month. Commissions that have not cleared the holding period at the time of termination for cause may be forfeited at Roni Corporation’s sole discretion.
14. Disclaimer and Limitation of Liability
THE PROGRAM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. RONI CORPORATION MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE PROGRAM, INCLUDING THE AMOUNT OF COMMISSIONS AN AFFILIATE MAY EARN. IN NO EVENT SHALL RONI CORPORATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM PARTICIPATION IN THE PROGRAM.
15. Indemnification
Affiliate agrees to indemnify, defend, and hold harmless Roni Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Affiliate’s participation in the Program; (b) Affiliate’s violation of this Agreement; or (c) Affiliate’s violation of any applicable law or regulation.
16. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Texas, and the parties consent to personal jurisdiction therein.
17. Independent Contractor Relationship
Affiliates are independent contractors and are not employees, partners, agents, or joint venturers of Roni Corporation. Affiliates have no authority to bind Roni Corporation to any agreement or obligation.
18. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the Affiliate Program and supersedes all prior or contemporaneous understandings, agreements, representations, or warranties, whether written or oral.
